Interrogation Pattern

Before executing any workflow, ask these questions if the answers are not already in the user's input. Do not proceed to analysis until you have the state, policy type, and transaction type at minimum.

1. "What state is the property in? Attorney states (NY, MA, SC, CT, DE, GA, WV) have different
   title practices than title company states. This affects exception interpretation and cure paths."

2. "Is this for an owner's policy, a lender's policy, or simultaneous issue of both?"

3. "Are there existing mortgages, deeds of trust, or open liens that must be satisfied at closing?

Process

Workflow 1: Schedule A Analysis

Extract and validate the six core Schedule A elements. Any discrepancy here is a threshold issue -- do not proceed to B-I and B-II review until Schedule A is confirmed clean.

Schedule A Elements:

1. Effective Date
   - Compare commitment date to anticipated closing
   - If gap > 30 days: require date-down endorsement or updated commitment
   - If gap > 90 days: reorder the commitment entirely
   - 1031 exchange: identify exchange period deadline; gap coverage must bridge

2. Proposed Insured
   - Owner's policy: confirm proposed insured matches exact legal name of acquiring entity
   - Lender's policy: confirm lender name, ISAOA/ATIMA language, and successors clause
   - Vesting entity: verify entity is active and in good standing (not dissolved, expired, or
     administratively revoked) in its state of formation and in the state where property sits
   - If LLC or LP: confirm manager/GP authority to transact (operating agreement review)

3. Legal Description
   - Compare word-for-word against survey legal description
   - Compare against deed in current chain
   - Flag any discrepancy in metes and bounds, lot/block references, or acreage
   - Multi-parcel: confirm all parcels are listed; confirm no parcel is missing or duplicated

4. Estate or Interest
   - Fee simple vs. leasehold: leasehold title requires ground lease review
   - Confirm no undisclosed life estates, remainders, or other qualified interests

5. Policy Amount
   - Owner's policy: should match purchase price (not appraised value)
   - Lender's policy: should match loan amount
   - If policy amount < purchase price: gap is uninsured exposure; flag immediately

6. Commitment Date vs. Recording Date
   - Confirm commitment date is after the last recorded instrument in the chain
   - Any instrument recorded after commitment date but before closing falls in the gap
   - Request gap endorsement (ALTA 16 or equivalent) for acquisitions > 30 days from commitment

Output: Schedule A confirmation memo with pass/fail per element and flagged discrepancies.

Workflow 2: Schedule B-I Requirements Review

Schedule B-I lists conditions that must be satisfied before the title company will issue the policy. Every B-I item is a closing deliverable. Treat each one as an open task with an owner and a deadline.

Standard B-I Requirements by Category:

Conveyance Requirements:
  - Deed from current owner to buyer (or deed from grantor if part of chain)

  - Municipal lien search clearance

Gap Coverage:
  - Agreement to indemnify for matters recorded in gap period
  - If 1031: confirm QI cannot accept gap indemnification on behalf of buyer (separate indemnity)

Entity Verification:
  - Certificate of good standing for grantor and grantee entities
  - Operating agreement or partnership agreement confirming authority

Workflow 3: Schedule B-II Exception Review

Schedule B-II exceptions are carved out from coverage -- they are matters the title company will not insure against. The core question for each exception: is it acceptable as-is, negotiable (insurable with an endorsement), or unacceptable (must be cured or kills the deal)?

Three-Tier Acceptability Framework:

Tier 1 -- Acceptable (no action needed):
  Standard exceptions common to all commitments in the state.
  Examples: general taxes not yet due and payable, rights of way for utilities
  in place and unencroaching, subdivision plat dedications consistent with use.

Tier 2 -- Negotiable (endorsement or deletion possible):
  Non-standard exceptions that can be insured over, subordinated, or deleted
  with supporting documentation or underwriter negotiation.
  Examples: survey matters (deletable with ALTA survey and no-survey exception
  waiver), rights of parties in possession (deletable with tenant estoppels and
  SNDA), easements not encroaching on improvements.

Tier 3 -- Unacceptable (must cure or kill deal):
  Exceptions that directly impair use, marketability, or lender acceptability
  and cannot be insured over without material risk.
  Examples: active litigation affecting title, unresolved mechanics liens within
  lien period, senior encumbrances not being paid off, deed restrictions that
  prohibit intended use.

Workflow 4: Survey Cross-Reference

The survey is the physical overlay to the title commitment. Every exception in B-II that references a "survey matter" must be located on the survey. Every encroachment, encumbrance, or easement shown on the survey must have a corresponding B-II exception (or be identified as an unscheduled matter).

Workflow 5: Title Chain Validation

A clean title chain is an unbroken sequence of recorded instruments from a root of title to the current owner. Institutional lenders typically require a 40-60 year chain (state dependent); title insurance companies search back to a "good root of title" which varies by state.

Chain Validation Steps:

Step 1: Identify root of title
  - Confirm the search period covers at least the state's marketable title act period
  - Common periods: 40 years (most states), 60 years (TX), 30 years (IA), 75 years (NY for NYC)
  - For 1031: confirm the chain for the relinquished property was clean at the time of sale
    (subsequent defect could defeat exchange qualification)

Step 2: Trace conveyances forward
  For each instrument in the chain:
    - Grantor in current instrument = Grantee in prior instrument (exact name match)
    - Instrument is properly executed (signature, notarization, witnesses where required)
    - Instrument is recorded in the correct county
    - Recording information is legible and cross-references are correct

Step 3: Flag chain breaks
  Break type 1 -- Grantor-Grantee mismatch: names don't match between instruments.
    May be a name change (marriage/divorce), entity conversion, or actual break.
    Resolution: affidavit of identity, name change certificate, or re-examination.

  Break type 2 -- Gap in time: no recorded instrument for > 24 months between transactions
    during a period of active ownership.
    Resolution: affidavit of continuous possession, adverse possession review.

  Break type 3 -- Missing instrument: referenced instrument (prior deed, easement grant)
    not found in the public record.
    Resolution: request copy from title plant; if lost, may require quiet title action.

  Break type 4 -- Probate gap: owner died; no probate or TOD instrument in the chain.
    Resolution: require probate court order or heirship affidavit (state-specific).

  Break type 5 -- Entity gap: entity granted/received title but was dissolved at time of
    transfer.
    Resolution: retroactive reinstatement (if available by state) or quiet title.

Step 4: Identify unrecorded interests
  - Seller's title affidavit should address: unrecorded leases, options, rights of first
    refusal, contracts for deed, and recent construction
  - If any unrecorded interest is disclosed: evaluate materiality and require release
    or non-disturbance agreement before closing

Step 5: Confirm current owner
  - Final instrument in chain must convey to seller (proposed grantor)
  - Confirm no intervening conveyances after the last chain instrument (gap search)
  - Tax records, county assessor records should match -- discrepancy is a flag

Workflow 6: Lien Search Reconciliation

Title insurance covers liens of record as of the commitment date. The lien search extends the review to catch liens that may not have been picked up in the standard chain search. Refer to references/title-review-methodology.md for cure procedures and cost benchmarks.

Lien Types and Priorities:

Priority 1 -- Ad Valorem Tax Liens:
  Federal, state, and local property tax liens are statutory super-priority in most states.
  They prime all other liens including first mortgages.
  Review: confirm current year taxes are paid or escrowed; confirm no delinquent years open.
  Delinquent > 2 years: flag as Critical; tax sale risk exists in most states.

Priority 2 -- Special Assessments:
  Municipal improvement districts, BID assessments, HOA assessments.
  Some are super-priority (HOA in FL and NV); confirm priority in subject state.

Priority 3 -- Judgment Liens:
  Obtain judgment lien search in all counties where property is located AND all counties
  where the current owner does business (judgment may attach in any county where owner
  has real property).
  Confirm search period covers full chain period; a judgment against a prior owner that
  was not satisfied can cloud title even if not in current owner's name.

Priority 4 -- Mechanic's and Materialman's Liens:
  Most states allow a lien period of 90-120 days after last furnishing of labor or materials.
  Any work completed within the lien period = open lien exposure.
  Request: seller affidavit of no unpaid contractors; lien waiver from GC and major subs.
  If lien is filed: must be released or bonded off before closing.
  Note: some states (TX, PA) have constitutional lien rights that are not waivable by contract.

Priority 5 -- UCC Fixture Filings:
  If seller is an operating business, UCC filings may attach to fixtures (HVAC, elevators,
  generators) as personal property.
  Review UCC search against seller entity; require termination statements for any
  UCC-1 that covers fixtures constituting part of the real property.

Priority 6 -- Federal Tax Liens (IRS):
  IRS liens attach to all real property of the taxpayer.
  Federal lien search required (county + Secretary of State); IRS has 30-day notice right.
  If IRS lien found: must be discharged; Certificate of Discharge from IRS required.

Priority 7 -- Environmental Liens:
  CERCLA superliens prime all other interests in some states.
  ALTA 8.1 endorsement provides coverage against prior-period environmental liens.

Workflow 7: Cure Path Development

Compile all issues identified in Workflows 1-6 into a single cure matrix with priority, owner, estimated timeline, and estimated cost. This is the deliverable that feeds psa-redline-strategy (seller cure obligations) and closing-checklist-tracker (closing conditions).

Cure Priority Levels:

P0 -- Deal-Breaker (resolve or walk away):
  Active litigation affecting title, uninsurable chain break, deed restriction that prohibits
  intended use, tax lien threatening imminent tax sale, lien that cannot be discharged
  (federal criminal forfeiture, CERCLA superlien without Certificate of Completion).
  Timeline: irrelevant if cure is not feasible; walk away analysis begins immediately.

P1 -- Pre-Closing Required (must be resolved before closing):
  Open B-I requirements, mechanic's liens within lien period, open mortgage payoffs,
  UCC fixture filings, judgment liens, undisclosed encroachments requiring boundary
  agreement, entity good standing certificates.
  Timeline: 30-60 days for most; longer for probate or quiet title actions.

P2 -- Condition of Closing (deliverable at closing table):
  Seller's title affidavit, FIRPTA certificate, gap indemnity, lien waivers from contractors,
  tenant estoppels (if B-II exception for rights of parties in possession).
  Timeline: 1-5 business days pre-closing.

P3 -- Endorsement Coverage (insurable, no cure required):
  Survey matters with no encroachment issues (ALTA 9), zoning confirmation (ALTA 3.1),

Branch: Owner's Policy vs. Lender's Policy

Owner's Policy:
  - Insures buyer against pre-closing title defects discovered post-closing
  - Amount: purchase price
  - Survives closing indefinitely (no expiration)
  - Key endorsements: ALTA 9 (survey/encroachment), ALTA 3.1 (zoning), ALTA 15 (nonimputation)
  - Less strict on gap coverage since owner is in possession and will know of new encumbrances
  - CLTA policy (CA): different form; fewer endorsements available; standard exceptions broader

Lender's Policy:
  - Insures lender's lien priority and validity against prior-recorded matters
  - Amount: loan amount (decreases as loan is paid down)
  - Expires when loan is satisfied
  - Key endorsements: ALTA 9, ALTA 17, ALTA 19 (contiguity), ALTA 22 (location), ALTA 14
    (future advance if revolving)
  - Strict on gap coverage: lender needs protection from day-of-recording to gap period close

Single-Parcel:
  - Standard workflow; one chain, one legal description to reconcile

Multi-Parcel Assemblage:
  - Run Workflows 1, 2, 5 separately for each parcel
  - ALTA 19 endorsement required to confirm all parcels are contiguous (no gaps, no overlaps)
  - ALTA 18 endorsement for each parcel to confirm single tax parcel treatment
  - Confirm all parcels are included in the single commitment or obtain separate commitments

Attorney States (NY, MA, SC, CT, DE, GA, WV):
  - Title opinion from licensed attorney is the basis for title insurance

  - Cure procedures often go through attorney, not title officer
  - Recording in attorney states: NY uses ACRIS (NYC) and county clerk; recording
    immediately binds; but deed transfer tax must be paid at recording

New York Specifics:
  - NYC: NYC RPT (Real Property Transfer Tax) + NYS transfer tax at closing
  - 421-a tax abatement exceptions: flag expiration dates; abatement end materially
    affects NOI and therefore value
  - Co-op buildings: no title insurance on co-op shares (personal property); proprietary
    lease review instead; board approval is a condition precedent
  - NYC condos: offering plan and amendments; review for sponsor units and unsold shares

California Specifics:
  - CLTA policy standard (different from ALTA); broader standard exceptions
  - Preliminary report (not commitment) is the California title document; same review process
  - Mello-Roos and CFD assessments: super-priority; confirm balances in Schedule B
  - Proposition 19 reassessment: transfer triggers reassessment; factor into pro forma
  - Natural hazard disclosure (NHD) report: flood, fire, seismic; not title but affects use

Texas Specifics:
  - Texas allows only promulgated forms (T-1 through T-51 forms); standard exceptions differ
  - Texas mechanic's lien: constitutional right; cannot waive in advance; joint check
    agreement and lien waivers are the only protection
  - No transfer tax in Texas; recording fees only
  - Survey requirement: Texas title companies rarely issue without survey; "survey deletion"
    is a separate commitment item

Florida Specifics:
  - HOA super-priority lien for 12 months of assessments
  - Documentary stamp tax (doc stamps): $0.70 per $100 of consideration (seller typically pays)
  - Intangible tax on new mortgages: $0.002 per dollar of note (buyer pays)
  - Sinkholes: not a title matter but affects insurability of improvements; flag if in
    sinkhole-prone county (Hillsborough, Hernando, Pasco, Pinellas, Sumter, Marion, Citrus)

Branch: Transaction Type

Acquisition:
  - Standard workflow sequence: Workflows 1-7
  - B-I focus: seller's delivery obligations, payoffs, and conveyance documents
  - B-II focus: identify all non-standard exceptions; tier each exception

Refinance:
  - Lender's policy only (no owner's policy at refi unless owner wants extended coverage)
  - B-I focus: payoff of existing lender's loan (if refi of existing debt); release of
    existing lender's policy insured deed of trust or mortgage
  - Schedule A: confirm existing owner matches borrower; if ownership has changed since last
    title search, re-run full chain
  - Reduced endorsement set: ALTA 9, ALTA 17 typically; lender may require specific list
  - Gap: lender needs coverage from prior search through recording of new deed of trust

1031 Exchange:
  - Investor is replacing relinquished property with replacement property
  - Vesting: replacement property must vest in same entity as relinquished (or disregarded entity
    of same taxpayer); any deviation risks exchange qualification
  - Timeline constraint: 45-day identification period and 180-day closing period from sale of
    relinquished property are hard deadlines; title cure must complete within 180 days
  - Qualified Intermediary (QI): confirm QI is in place; title company cannot hold exchange
    funds without becoming QI (disqualifying relationship risk)
  - Gap coverage: QI may not sign gap indemnity on behalf of buyer; separate buyer indemnity
  - Boot risk: if title defect results in a price reduction (seller credit), that credit could
    be characterized as boot received, triggering partial gain recognition

Red Flags

These findings require immediate escalation to the deal team and legal counsel. Do not proceed to close on any P0 item without explicit, documented direction from principal.

  1. Gap in title chain > 24 months: extended possession without a recorded instrument creates adverse possession risk and uninsurable exposure in most states. Quiet title action likely required. Estimated timeline: 90-180 days minimum.

  2. Unrecorded interests disclosed in seller's affidavit: any option, right of first refusal, unrecorded lease, or contract for deed disclosed by the seller but not in the public record must be released or subordinated before closing. An unrecorded option held by a third party can survive a sale to a buyer with actual notice.

  3. Survey shows encroachment into building footprint: a third-party utility, access easement, or adjacent structure located beneath or through the principal building creates permanent use impairment. ALTA 28 and ALTA 9 provide limited coverage; the better remedy is to relocate the encroachment or record a boundary line agreement.

  4. Tax liens exceeding 2 years delinquent: most states allow tax sale after 2-3 years of delinquency. A delinquent tax lien is a super-priority claim that primes the purchase money mortgage. Payoff amounts may include penalties, interest, and redemption fees that exceed the face amount.

  5. Mechanic's liens filed within the statutory lien period (typically 90-120 days): these are not stale -- they are current and secured. They must be paid, released, or bonded off before closing. Do not accept a seller's representation that "the contractor dispute will be resolved." Bonding off the lien is the only acceptable cure in a time-constrained closing.

  6. B-II exception for "rights of parties in possession" without current tenant estoppels: this exception means the title company will not insure against claims by occupants. In a multitenant property, this exception without estoppels leaves the buyer uninsured against any tenant claiming a superior right (e.g., an unrecorded right of first refusal or a below-market lease option). Require estoppels from all tenants occupying more than 5% of GLA, and subordination/non-disturbance/attornment (SNDA) agreements from major tenants.

  7. Missing satisfaction of prior mortgage: if the title commitment shows a deed of trust or mortgage from a prior owner that was never formally released, the lien is still of record. A subsequent conveyance does not extinguish a lien. Require a recorded release or obtain a lost instrument bond. Do not accept a seller's representation that the loan was paid off without a recorded satisfaction.

  8. Legal description discrepancy between commitment and survey: even a minor discrepancy (one call off by 2 feet, a missing bearing) creates an insured-description risk. The title company insures the Schedule A legal description, not the survey depiction. If they diverge, either is potentially wrong. Require a survey re-certification and a Schedule A amendment before closing.

  9. Vesting entity dissolved, revoked, or expired: if the proposed grantee entity was administratively dissolved between commitment and closing, the deed may be void in some states. Confirm good standing at commitment and again within 5 business days of closing. For 1031 exchanges, confirm the replacement property vesting entity matches the exchange agreement exactly.

Worked Example

Property: Meridian Commerce Park, 4 parcels, 285,000 SF industrial, Irving, TX. Acquisition for $52.5M. Lender's policy: $35M. Simultaneous issue.

Schedule A findings:

  • Commitment date: 45 days before anticipated closing. Gap endorsement (ALTA 16) required.
  • Vesting in commitment: "Meridian Industrial Holdings LLC, a Delaware LLC." Confirmed active and in good standing in Delaware and TX.
  • Legal description: 4 parcels referenced by metes and bounds. Survey shows 4 parcels; legal descriptions match. ALTA 19 (contiguity) ordered -- surveyor confirms parcels are contiguous.
  • Policy amounts: Owner's $52.5M, Lender's $35M. Simultaneous issue; discount applied.

  • One utility (electric) easement at 10 feet wide runs parallel to north boundary; no improvements within easement. Accept.
  • FEMA Zone X (minimal flood hazard). No flood insurance required.

Title chain:

  • 45-year search; chain is clean with one exception: ownership gap of 8 months in 2011 between the bankruptcy sale of prior owner (Parcel 3 only) and recording of trustee's deed. Title company accepted this gap based on bankruptcy court order; bankruptcy order obtained and confirmed in file.

Lien search:

  • Judgment lien against prior owner ($47,200, released 2018) -- release confirmed in chain; clear.
  • Ad valorem taxes: 2022 through Q3 2024 confirmed paid; Q4 2024 pro-ration in closing statement.
  • Mechanic's lien filed $180,000 (roofing contractor, Building 1) -- same as B-II item 14 above.
  • No UCC fixture filings against seller entity.
  • No federal tax liens.
