Interrogation Protocol
Before beginning analysis, confirm the following. Do not assume defaults.
- "American or European waterfall?" American (deal-by-deal) generates carry deal-by-deal with potential clawback; European (whole-fund) aggregates before carry is computed. This is the most consequential branching decision.
- "How many deals in the fund, and what is the realized/unrealized split?" Determines analysis scope and mark-to-market dependency.
- "What is the preferred return hurdle rate?" Typically 8% IRR but varies (6%, 9%, 10%). Some funds use a multiple hurdle (1.0x return of capital) rather than IRR. Confirm both.
- "What is the GP co-invest percentage?" GP typically commits 1-5% of fund capital alongside LPs. This co-investment participates in carry alongside the LP commitment. Confirm whether GP co-invest is treated as a separate account or pooled with LP capital.

Branching Logic
American (Deal-by-Deal) Waterfall
Characteristics:
- Carry calculated independently per deal
- GP earns carry on profitable deals immediately upon realization
- If subsequent deals lose money, GP may owe clawback on previously distributed carry
- More GP-favorable in early vintages when early deals are strong performers
Clawback mechanism:
At any point, total GP carry distributed must not exceed:
GP carry distributed <= Carry Rate * max(0, Total Fund Profit - Preferred Return Accrual)
If distributed carry exceeds this threshold, the excess is the current clawback liability.
Clawback trigger: usually at fund termination, sometimes at interim dates

European (Whole-Fund) Waterfall
Characteristics:
- Carry calculated on aggregate fund performance only
- LP receives return of ALL contributed capital across all deals before GP earns any carry
- LP receives preferred return on ALL capital before GP catch-up begins
- No per-deal carry -- GP earns nothing until the full fund hurdle is cleared
Carry calculation:

Vintage-Based Branching
Pre-2015 vintages (mature funds):
- Likely fully or near-fully realized. Focus on actual carry paid vs clawback triggered.
- Clawback liability is crystallized, not theoretical.
- Deal team carry likely fully vested; focus on historical attribution for audit purposes.
2015-2020 vintages (active harvest):
- Mix of realized and unrealized deals. This is the core use case.
- Model carry accrued on realized deals plus carry at current marks on unrealized.
- Stress-test unrealized marks at -10%, -20%, -30% to size clawback exposure.
- Deal team carry partially vested; attribution matters for departing team members.
2021-2024 vintages (early-stage / J-curve):
- Minimal or no realizations. Carry is entirely theoretical.

Fund Size Branching
Small funds (<$300M):
- Fewer deals (typically 5-15). Concentration risk is high.
- Single deal can dominate carry calculation. Model each deal explicitly.
- Deal team carry likely small dollars; attribution may be informal.
Mid-size funds ($300M-$1B):
- 10-25 deals. Standard analysis applies.

Red Flags
- Clawback exceeding GP liquid net worth plus escrow -- GP has distributed carry it cannot return. Investigate escrow balance immediately and consider requiring additional security.
- Carry accrued on unrealized gains with low realization rate -- If DPI < 0.5x and fund is past Year 5, carry calculations are largely theoretical. Unrealized marks may be soft. Verify third-party appraisals.
- Single deal contributing >50% of fund returns -- Fund performance is a one-deal story, not portfolio management. Remove the deal and restate percentile ranking. Red flag for vintage comparison.
