Red Flags
Flag any of the following conditions immediately. Do not proceed past a red flag without disclosing it to the user and confirming the course of action.

Blended fee below GP breakeven: if blended management fee drops below the level needed to cover fund operating expenses + GP overhead, the fund economics don't work. Flag when blended fee * total commitments < annual operating budget. At a $350M fund with $3.5M annual operating cost, breakeven is ~1.00% blended fee. Any scenario that pushes blended below this level is a structural problem, not a negotiation outcome.

MFN cascade consuming >20% of fee concession value: if granting one LP a discount triggers cascading ratchets that cost 2x+ the direct concession, the GP is giving away too much. Recommend restructuring MFN provisions or excluding the LP from MFN scope. Quantify the ratio: cascade_cost / direct_concession_cost. If ratio > 2.0x, the concession is structurally inefficient.

Anchor LP getting >50bps below standard: concessions beyond 50bps create a deep MFN floor that constrains all future negotiations. Flag and suggest tiered rates or non-fee concessions (co-invest, advisory seat, LPAC membership, enhanced reporting, key person notification) instead. Best practice: cash commitment >= 50% of total GP commitment.

Close timeline slippage: if target close dates are approaching with insufficient committed capital, flag the gap and recommend acceleration tactics. For first close: if committed < 30% of target within 30 days of target date, the close is at risk. Acceleration tactics: (a) increase early closer discount, (b) accelerate anchor LP negotiations, (c) engage placement agent if not already, (d) consider extending close date (but disclose reputational cost of delay).

Retroactive MFN adjustment on already-funded LPs: if a late-closing LP negotiates a lower fee and MFN provisions are retroactive, the GP may owe refunds to early closers. Quantify the exposure: for each funded LP with MFN, calculate the fee overpayment from their funding date to the current date at the old rate vs the new MFN floor. This is cash out the door, not a future adjustment. Flag the dollar amount and confirm with fund counsel before proceeding with the late-closing LP's terms.
