Interrogation Protocol

Before generating any data request template, confirm the following. Do not assume defaults.

  1. "What is the request purpose?" (Initial due diligence on new GP, quarterly monitoring of existing commitment, annual review, re-up evaluation for successor fund) -- this determines scope, depth, and urgency.
  2. "What asset class?" (CRE, private equity, private credit, infrastructure, multi-asset) -- each asset class has different standard data items and benchmarks.
  3. "What fund type?" (Closed-end commingled, open-end commingled, co-investment vehicle, separate account, fund-of-funds) -- fund structure changes reporting requirements and waterfall mechanics.
  4. "What is the fund strategy?" (Core, core-plus, value-add, opportunistic, debt/credit) -- strategy determines which performance metrics matter most and what benchmarks to compare against.
  5. "What is your governance requirement?" (Board-level approval, IC-level approval, staff-level decision) -- governance level determines reporting depth and formality.
  6. "What reporting standards do you follow?" (ILPA, GIPS, INREV, custom) -- standards determine minimum reporting fields.
  7. "Any specific concerns or focus areas?" (Fee transparency, valuation methodology, ESG, leverage, team stability, regulatory compliance) -- allows targeted deep-dive requests.

Branching Logic by Request Type

Initial Due Diligence Request

The most comprehensive request type. This is the LP's first opportunity to evaluate the GP before committing capital. The GP's willingness to provide complete, timely information is itself a signal.

Scope: Complete GP and fund evaluation data for new commitment decision. Expect 100-200+ line items across organizational, operational, track record, fund terms, legal, compliance, and reference sections.

Key principle: An incomplete DDQ response is a negative signal. Track what was requested vs what was provided. Items declined or delayed without explanation should be flagged.

Quarterly Monitoring Request

Ongoing monitoring of existing GP commitment. Standardized format for consistent tracking across quarters and across managers.

Scope: Fund-level performance update, capital account statement, deal-level updates, key events, and compliance items. Expect 40-60 line items.

Key principle: Quarterly reports should arrive within 60 days of quarter-end. Delays beyond 90 days are a red flag. Performance metrics should be presented on both gross and net basis.

Annual Review Request

Comprehensive annual evaluation, deeper than quarterly monitoring. Includes audited financials, valuation methodology review, and governance compliance verification.

Scope: Everything in quarterly monitoring plus audited financials, annual letter, governance updates, fee reconciliation, and forward-looking strategy assessment. Expect 80-120 line items.

Key principle: Annual review is the LP's opportunity to verify that quarterly data is consistent with audited results. Discrepancies between quarterly and audited figures are a red flag.

Re-Up Evaluation Request

Most targeted request type. Focused on whether to commit to the GP's successor fund. Compares current fund performance, next fund terms, and team evolution.

Scope: Updated track record, next-fund-specific items (PPM, LPA, terms comparison), team changes, strategy evolution, and competitive context. Expect 60-100 line items.

Key principle: GPs are incentivized to present re-up data favorably. Request raw data alongside GP-prepared summaries. Independently verify key metrics.

For each section of the request, generate specific, unambiguous line items with expected format and analytical purpose.

Section 1 -- Organization and Team (ORG):

Required for initial DD and re-up. Key items:

  • ORG-01: Firm overview and ownership structure (PDF). Red flag: founded <5 years with no prior track record.
  • ORG-02: Organizational chart with all investment and operations staff (PDF). Red flag: unclear reporting or missing functions.
  • ORG-03: Key person bios with tenure, career history, personal track record (PDF). Red flag: principal tenure <3 years.

Workflow 4: Red Flag Trigger Matrix

For each critical data item, define what value or condition constitutes a red flag requiring escalation.

Performance red flags:

  • Net IRR below vintage peer median for 2+ consecutive periods
  • DPI = 0.0 after year 4 of fund life
  • Gross-to-net spread > 300 bps
  • Single deal > 30% of fund NAV
  • Loss ratio > 25% of invested capital

Organizational red flags:

  • Key person departure without 90-day prior notification
  • Employee turnover > 20% in any 12-month period
  • AUM growth > 50% in 24 months
  • Regulatory enforcement action or SEC exam deficiency
  • Active litigation by LPs alleging fiduciary breach

Terms red flags:

  • Management fee increase from current to next fund
  • Carry above 20% without above-market performance
  • GP commitment via fee waiver only
  • No clawback or uncollateralized clawback
  • Key person clause missing or with >90 day cure

Operational red flags:

  • Auditor change without explanation
  • Qualified audit opinion

Workflow 5: Request Letter Assembly

Assemble all components into a formal, professional data request letter ready to send to the GP.

Red Flags

  1. GP reluctance to provide deal-level data -- the GP should have nothing to hide. Aggregated data prevents LP from assessing dispersion and concentration.
  2. GP reports gross returns without net -- always demand net. Gross-only reporting is a fundamental transparency failure.
  3. GP reports IRR without disclosing subscription credit facility usage -- inflated IRR misleads LPs. Demand both as-reported and investment-date IRR.
  4. GP declines to provide LP references from underperforming funds -- LPs need to hear from investors who experienced the downside, not just the upside.
  5. GP pushes back on ILPA reporting template format -- ILPA is the industry standard. Non-compliance suggests either inadequate infrastructure or deliberate opacity.
  6. GP provides marketing materials instead of raw data -- marketing materials are curated. Raw data allows independent verification.
  7. GP delays response beyond 30 days without explanation -- timeliness is a signal. Delays often indicate internal disagreements about what to disclose.
  8. GP provides different data to different LPs -- side letter provisions may differ, but core performance data should be identical. Discrepancies suggest selective reporting.
  9. GP's response omits items without acknowledgment -- declining an item with explanation is acceptable; silently omitting it is evasive.
