By Timeline Pressure
Early stage (Days 1-20)

Workflow 2: Identification Strategy
Determine the optimal identification rule and build the identification letter.
Identification rules comparison:
THREE-PROPERTY RULE (most common, recommended default):
- Identify up to 3 properties of any value
- No aggregate value limit
- Strategy: primary target, strong backup, safety option (often a DST)
- Advantages: simplest, most commonly used, well-understood by QIs
- Risk: limited to 3 candidates -- if all 3 fall through, exchange fails
200% RULE:
- Identify any number of properties
- Total FMV of all identified properties cannot exceed 200% of relinquished value
- Example: $5M relinquished -> max $10M total identified FMV
- Strategy: identify 4-6 candidates with combined FMV under limit
- Advantages: more optionality than 3-property rule
- Risk: must accurately estimate FMV; if identified value exceeds 200%, ALL
identifications are invalid (not just the excess)
- Common trap: identifying too many DSTs plus direct acquisitions exceeds 200%
95% RULE:
- Identify unlimited properties of any value
- MUST acquire 95% of total identified FMV
- Example: identify $20M in properties -> must close on $19M
- EXTREMELY RISKY: effectively requires closing on virtually everything identified
- Recommend against this rule in almost all circumstances
- Only appropriate: institutional exchangers with contractual certainty on all candidates

Analyze and eliminate boot exposure across all replacement candidates. Any boot is a taxable event -- the goal is $0 boot unless the exchanger has explicitly accepted a partial exchange.

CASH BOOT (most intuitive):
Trigger: replacement property value < relinquished property net sale price
Calculation: relinquished_sale_price - replacement_purchase_price = cash_boot
Tax: boot is taxed as capital gain (up to total gain; cannot exceed actual gain)

Delaware Statutory Trusts (DSTs) serve as a safety net when direct acquisition candidates are uncertain or timeline pressure is intense. DSTs should be a fallback -- not a primary strategy -- due to their illiquidity, lack of control, and fee load.

When to invoke DST analysis:

- Day 30+ with no strong direct acquisition candidate
- Primary candidate has material closing risk (title issues, environmental, seller uncertainty)

QI BANKRUPTCY RISK:

Red Flags and Failure Modes

Day 45 approaching with no identified properties: This is the single most common exchange failure. If Day 30 arrives with no viable candidates, invoke DST fallback analysis immediately. Do not wait until Day 44. Mail delivery delays, QI office closures on weekends, and courier errors can make a Day 44 submission arrive on Day 46 -- which is a complete exchange failure.

Replacement property value < relinquished property value (boot exposure): Every dollar of shortfall is taxable boot. Calculate boot exposure for every candidate before identification. Present the tax cost of boot alongside the property merits. Some exchangers knowingly accept partial boot -- that is a valid decision if the tax cost is understood. An unknowing boot surprise is a failure.

QI holding exchange funds in non-segregated account: If the QI commingles exchange funds with its own operating funds or other exchangers' funds, the exchanger is exposed to QI bankruptcy risk. Demand written confirmation of segregated, FDIC-insured accounts. If QI cannot provide this, change QIs immediately -- even mid-exchange if necessary (consult counsel).
